Rental Only

If Customer is renting equipment from the Company without operators (dry rental) and intends to set up and operate rented equipment themselves, the Customer/Renter is responsible for any and all damage to such equipment during the rental period.

CHANGE OF LOCATION / DATES

Should the location or the dates of this event as specified herein change, DCE Productions retains the right to adjust rates for services, if applicable. The location and dates of the event as understood by DCE Productions are as listed as the venue, show start and show end dates in the order.

FORCE MAJEURE

Performance of this Agreement by either party is subject to acts of God, war, terrorism, government regulations, disaster, fire, strikes, civil disorder, curtailment of transportation facilities, or other similar causes beyond the control of the parties making it inadvisable, illegal, or impossible to hold the event (a Force Majeure Event). In the event it is necessary to cancel the function prior to the scheduled opening due to a Force Majeure Event, DCE Productions shall be reimbursed for all actual direct costs incurred.

INDEMNIFICATION

DCE Productions will indemnify and hold harmless the customer, its officers, directors, and employees from and against any bodily injury or property damage liability claims, judgments, damages, costs or expense, including reasonable attorney's fees, arising out of or occasioned by the operations performed by DCE Productions except for occurrences or accidents caused by the sole negligence of the customer, or for occurrences or accidents caused by any other party.

PAYMENT POLICY

DCE Productions will require a 50% advance payment on all proposed services contained within this Agreement, payable upon acceptance of this proposal. Pending credit approval, payment terms will allow 30 days from receipt of invoice for final payment. Otherwise, payment terms will be established based on your final credit rating.

INVOICE TERMS

Due and payable in U.S. currency at show site. Balances still unpaid after payment terms are due and payable in

Hillsborough County, Florida and will bear interest at 1.5% per month, (being 18% per annum). If finance charge exceeds maximum by law, it will automatically be reduced, with any excess refunded.

PROPRIETARY INFORMATION

The information in this proposal is confidential in nature, is the exclusive property of DCE Productions, and may only be used by the customer for the sole purpose of evaluating and accepting this proposal. Copying, reproducing, disclosing, distributing, or otherwise using this information without DCE Productions prior written consent is strictly prohibited.

FACILITY FEES

Unless noted, this agreement does not include or cover any facility related fees, such as power, internet/data, and rigging; or setup labor related to these, or any other facility provided services.

STOREROOM / SECURITY / THEFT / DAMAGE

DCE Productions will require a secure storeroom for our exclusive use during the event. We will require a minimum of 500 square feet, based on your requirements and request a location closest to the session rooms. We require you to provide adequate 24-hour security for all areas in which DCE Productions equipment is being utilized from the time of move-in to the time of move-out. The customer is responsible for any loss of or damage to the equipment. DCE Productions has the right to charge the customer for any necessary repair or replacement costs and such amounts, if any, may be added to any final invoices.

CANCELLATION OF EVENT

In the event that it is necessary to cancel the event prior to the scheduled opening, due to any cause within the control of customer, DCE Productions shall be compensated for all services as set forth in this proposal which are provided up to and including the date of cancellation including reimbursement for any direct and actual costs incurred by DCE Productions. Such direct costs will be evidenced by labor time cards and paid invoices for special materials or equipment purchased for event. Cancellation 7 days from the start of the event will require 100% payment.

IF APPLICABLE

The digital video recording package includes capturing in edit-quality QuickTime ProRes 422 format. These files are designed to be imported into a non-linear edit program such as Final Cut Pro running on a Mac Platform. DCE Productions will deliver a viewable MP4 file Compressed to 640X480 (640X360 if in HD). Data rates and frame rate to be supplied by Client based on their final use/location. If we do not receive specifics, we will use medium rates typically used for quality slides, etc. All files will be delivered within 14 business days after completion of the event. Additional formats and editing can be quoted separately. File size files can easily exceed 2 gigabytes, even compressed MP4s. When this happens, they may not be viewable on a standard PC. It is recommended that files are edited to reduce the size below 2 gigabytes.
